Terms & Conditions of Sale
Last updated: [DATE]
1. Scope
These terms govern all quotations, sample orders and purchase contracts between [LEGAL COMPANY NAME] ("we", "us") and the buyer ("you") for glassware and related products supplied under the cup&bottle brand. Terms proposed by the buyer that conflict with these terms apply only if we confirm them in writing.
2. Quotations
Quotations are valid for 30 days unless stated otherwise, and are based on the specifications, quantities and delivery terms stated in the quotation. Prices exclude duties, taxes and destination charges unless expressly included. We may revise a quotation if specifications, quantities or raw material costs change materially before the order is confirmed.
3. Orders and confirmation
An order is binding once we issue a written order confirmation (PI) and receive any required deposit. Artwork, logo files and packaging specifications must be approved in writing before production starts. You are responsible for holding the rights to any trademark, logo or design you supply.
4. Samples
Physical samples are normally produced within 5 working days of artwork approval. Sample charges are refundable against the first production order above the agreed volume. Samples are provided to confirm shape, finish and decoration; minor tolerances in hand-finished glass are normal and do not constitute a defect.
5. Minimum order quantity
Custom branding is available from 20 pieces per design. Lower quantities may be quoted on request but carry a higher unit price.
6. Prices and payment
Prices are quoted in the currency stated on the order confirmation. Unless otherwise agreed, payment is by T/T with a deposit on order confirmation and the balance before shipment. Bank charges on the buyer's side are for the buyer's account. We retain title to goods until payment has been received in full.
7. Lead time and delivery
Standard production lead time is confirmed per order and typically runs from 15 to 30 days after deposit and artwork approval, excluding Chinese public holidays. Delivery terms follow Incoterms 2020 as stated in the order confirmation. Risk passes according to the agreed Incoterm. Delays caused by force majeure, port congestion, customs inspection or carrier disruption are not attributable to us, though we will keep you informed and assist with mitigation.
8. Inspection and acceptance
Every batch is inspected before dispatch and documented with a pre-shipment photo report. You or your nominated agent may arrange third-party inspection before container sealing. Claims for visible damage or short shipment must be notified within 7 days of container arrival; hidden defects within 30 days of arrival. Claims must be supported by photographs and the packing list number.
9. Warranty and material guarantee
Our glassware is manufactured from borosilicate glass with a coefficient of expansion of 3.3 and is tested for thermal shock resistance within the range stated for each product. We offer a ten-fold (10x) compensation guarantee on material authenticity: if independent laboratory testing proves that a delivered batch is not borosilicate glass as specified, we refund ten times the invoiced value of the affected units, subject to verification.
The warranty does not cover damage from mechanical impact, thermal shock outside the stated range, misuse, or improper dishwashing, nor normal cosmetic variation in hand-finished glass.
10. Intellectual property
Product designs, moulds, tooling and photographic material created by us remain our property unless assigned in writing. Buyer-supplied logos and artwork remain the buyer's property, and the buyer indemnifies us against third-party claims arising from their use.
11. Confidentiality
Each party keeps the other's technical, commercial and pricing information confidential and uses it only for the purpose of the business relationship.
12. Liability
Our aggregate liability under any order is limited to the invoiced value of the goods concerned. We are not liable for loss of profit, loss of market, or indirect and consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
13. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, war, epidemic, government action, power failure or transport disruption. The affected party notifies the other promptly and the parties agree on a revised schedule.
14. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. The parties will first attempt to resolve any dispute by negotiation within 30 days. Failing that, the dispute is submitted to [CIETAC / the competent people's court at our registered address]. Before formal proceedings, the parties may agree to mediation.
